WHILE ON AN ASSIGNED HDG OF '140 DEGS; CLB TO 3000 FT' SHORTLY AFTER DEPARTING STP RWY 14 I HAD A NEAR-MISS WITH A SMALL TWIN ENG ACFT. AS I WAS PASSING THROUGH 1400 FT; THE TWR TURNED ME OVER TO DEP 121.2. JUST BEFORE I WAS HANDED OFF; I HEARD ANOTHER ACFT CALL THE ST. PAUL TWR AND ASK PERMISSION TO TRANSITION THROUGH THE ARPT CTL AREA. THE PLT OF THE OTHER ACFT SAID HE HAD JUST DEPARTED FLEMING FIELD WHICH IS 5 MI S OF STP; AND ASKED PERMISSION TO TRANSITION THROUGH STP ARPT AREA. THE STP TWR TOLD THIS ACFT TO STAY ON THE W SIDE OF THE FIELD. I WAS INSTRUCTED TO CONTACT DEP ON 121.2. I CHKED IN WITH DEP AND WAS ASSIGNED 3000 FT REMAINING ON A 140 DEG HDG. THE VISIBILITY WAS 10 MI AT THE TIME OF THE INCIDENT; BUT WAS VERY HAZY. AS I PASSED THROUGH 2200 FT CLBING TO MY ASSIGNED ALT OF 3000 FT; I LOOKED TO MY 10 O'CLOCK POS AND SAW THIS SMALL TWIN HEAD TOWARD ME AT MY ALT AND APPROX 1000 FT TO MY L. I IMMEDIATELY INCREASED MY RATE OF CLB TO PASS OVER THE ACFT. I ESTIMATE THAT THE OTHER ACFT PASSED 200 FT BELOW ME. THE OTHER ACFT DID NOT CHANGE ALT OR HDG. I DON'T BELIEVE THE PLT OF THE OTHER ACFT EVER SAW OUR ACFT. NEITHER STP TWR OR MSP DEP ISSUED ANY TFC WARNING TO ME.
